| Articles of Agreement made this second day
November 1863 between Sam. B. Jones Genl Superintendent of the Memphis
& Ohio R R Company of the first part and Thos R Sharp Genl Supt of
the Charlotte & South Carolina RR Company of the second part. |
| Wherein it is agreed by the party of the
first part to deliver to the party of the second part for use upon
their Road two (2) Locomotive Engines to wit "No 11" &
"G T Taylor" and five (5) passenger cars to wit "G, H,
7, 8 & 10" all needing repairs and painting and owned by the
Memphis & Ohio R R Co. And it is agreed on the part of the party
of the second part to thoroughly overhaul put in good order and paint
the said Locomotives & passenger cars at the expense of the party
of the first part the actual cost of labor and material only to be
charged which shall be shown by the Books of the party of the second
part and to pay monthly the sum of 30 cts per mile run by each engine
and fifteen (15) cents per mile run for each passenger car and when
not in use the said locomotives & passenger cars to be kept under
shelter to prevent exposure to the weather and to deliver the said
locomotives & cars in as good order as they shall be after being
overhauled ordinary wear alone excepted to the order of the President
or Superintendent of the said Memphis & Ohio R R Company when they
shall be needed for use on their own Road. |
| It is further agreed that in the event of
the said Locomotives and Passenger cars being offered for sale that
the party of the second part shall have the refusal of the same. |
